These Terms of Service (the "Terms") govern your access to and use of the HiFiSwap platform, including the website at https://hifiswap.io/, all associated applications, tools, and services (collectively, the "Services"), operated by HiFiSwap and its affiliates ("HiFiSwap", "we", "us", or "our").

By accessing or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must not use the Services.

1. Acceptance and Updates

1.1These Terms take effect the moment you access the Website or use any of the Services. By proceeding, you confirm you have reviewed and accepted these Terms prior to completing any registration.

1.2We may revise these Terms at any time at our discretion. Revisions will be posted on the Website and take effect immediately upon publication. We may also notify you via email or a banner on the Website. Your continued use of the Services after revisions are posted constitutes acceptance of the updated Terms.

1.3It is your responsibility to review these Terms regularly. If you disagree with any revision, you should stop using the Services immediately.

2. Overview of Services

HiFiSwap operates a non-custodial crypto asset exchange platform. Through our Services, you may:

2.1Convert one type of crypto asset into another ("Exchange");

2.2Access an aggregated marketplace comparing rates from fiat-to-crypto providers;

2.3Access decentralized exchange functionality for DeFi tokens.

2.4All Exchanges are executed through third-party liquidity providers on their respective blockchain networks. HiFiSwap does not hold, store, or have custody of your crypto assets at any point during the exchange process.

2.5"Crypto Assets" refers to any digital asset transmitted exclusively via blockchain technology — including digital coins, tokens, and other digital mediums of exchange (e.g., Bitcoin, Ethereum, XRP) — and expressly excludes securities of any kind.

2.6Exchange rates displayed on our platform are estimates and may vary from rates available elsewhere. Final rates are determined at the time of transaction execution and may differ from the initially displayed estimate.

3. Eligibility

To use our Services, you must meet and continuously satisfy the following conditions. You represent and warrant that:

3.1You are at least 16 years of age, or have reached the legal age of majority in your jurisdiction;

3.2You are not located in, a citizen of, or a resident of any jurisdiction where crypto asset transactions are prohibited by law, nor in the United States of America or any of its territories (Puerto Rico, American Samoa, Guam, Northern Mariana Islands, U.S. Virgin Islands), collectively referred to as "Restricted Locations";

3.3You use our Services voluntarily and at your own risk, based on your own judgment;

3.4You are solely responsible for determining and fulfilling any tax obligations arising from your use of the Services;

3.5Your crypto assets are lawfully owned, free from any liens, encumbrances, disputes, or seizure, and no third party has any claim to them;

3.6You will provide accurate wallet addresses and transaction details, and such addresses are not linked to terrorism, fraud, or any illegal activity.

HiFiSwap reserves the right to select the markets and jurisdictions in which it operates and may refuse or restrict service to any user or region at its sole discretion.

4. Exchange Process

4.1To use the full functionality of our Services, you agree to comply with our AML/KYC policies when applicable. HiFiSwap may request additional identity verification or proof of source of funds at any time.

4.2Exchange Rate Options:

4.2.1Floating Rate — The final rate is determined at the time your transaction is processed and may fluctuate with market conditions.

4.2.2Fixed Rate — The rate is locked at the time of order creation, protecting you from market volatility during the exchange window.

4.3If market conditions shift significantly after you initiate a transaction, HiFiSwap may process the exchange at the updated market rate or, where execution is no longer feasible, issue a refund of the deposited crypto assets (less applicable fees). Refunds are typically processed within 1 to 7 business days after the user confirms a refund address.

4.4User Errors — Issues caused by incorrect wallet addresses, wrong blockchain networks, missing transaction memos or destination tags, or other user mistakes may be addressed by our technical team where technically feasible, subject to applicable fees and operational limitations.

4.5Upon resolution of such issues, any recoverable crypto assets will be returned to you after deduction of all applicable fees and operational costs. All refunds require your prior consent to the applicable deductions.

5. Fees

HiFiSwap is committed to fee transparency. Our fee structure has two components:

5.1Exchange Fee — A service fee charged for executing your transaction. For Floating rate transactions, the fee is 0.25% of the output amount (fees may differ for transactions via API partners). For Fixed rate transactions, the fee is embedded in the locked rate displayed to you.

5.2Network Fee — A blockchain transaction fee paid to miners or validators for processing and confirming transactions on-chain. These fees are determined by the respective blockchain networks and may fluctuate. The network fee shown at the time of order creation is an estimate; the actual amount charged may vary.

6. AML/KYC Compliance

HiFiSwap is committed to preventing money laundering, terrorist financing, and other illicit activities. We reserve the right to apply AML/KYC verification procedures to any user, wallet address, or transaction at our discretion, in accordance with our internal compliance policies and applicable law.

7. Prohibited Conduct

You agree that you will not, and will not assist or encourage any third party to:

7.1Use the Services in violation of any applicable law or regulation;

7.2Use the Services to facilitate fraud, money laundering, terrorist financing, or any other illegal activity;

7.3Exchange crypto assets derived from unlawful sources, including illegal gambling, theft, or corruption;

7.4Provide false, misleading, or fraudulent information;

7.5Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of our software;

7.6Deploy bots, scrapers, crawlers, or other automated tools to access the Services or extract data without our written authorization;

7.7Circumvent any security measures, access controls, or content filtering mechanisms employed by HiFiSwap;

7.8Build third-party applications that interface with our Services without our prior written consent.

8. Risk Disclosure

8.1HiFiSwap does not provide investment, financial, or legal advice. All exchange decisions are made entirely at your own discretion and risk. You should independently evaluate whether any exchange is appropriate for your financial situation before proceeding.

8.2Crypto assets are inherently volatile and remain in an early stage of technological and regulatory development. They may not be protected or regulated by any government authority, and you should not expect the same safeguards that apply to traditional financial products.

8.3THE RISK OF LOSS WHEN EXCHANGING CRYPTO ASSETS CAN BE SUBSTANTIAL. YOU ACKNOWLEDGE AND ACCEPT FULL RESPONSIBILITY FOR ALL RISKS AND OUTCOMES ASSOCIATED WITH YOUR USE OF THE SERVICES.

8.4Additionally, you acknowledge that risks inherent to Internet-based systems — including hardware failures, software bugs, network outages — as well as risks specific to blockchain protocols — including protocol-level vulnerabilities, unexpected behavior, or network attacks — may affect your transactions.

9. Intellectual Property

9.1All intellectual property associated with the Services — including but not limited to software, source code, trademarks, logos, UI designs, graphics, and content — is owned by or licensed to HiFiSwap and is protected by applicable intellectual property laws.

9.2We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes only.

9.3You may not copy, modify, distribute, sell, or commercially exploit any part of our intellectual property without our express written permission.

9.4This license terminates automatically if your access to the Services is suspended or revoked.

9.5Any content, feedback, or suggestions you voluntarily submit to us become our property, and we may use such content for any purpose without restriction or compensation.

10. Information Security

10.1You are responsible for safeguarding your transaction details, including your HiFiSwap ID, transaction hashes, wallet addresses, and account-associated email addresses. Do not share this information with anyone other than authorized HiFiSwap support personnel.

10.2HiFiSwap will never proactively request your account credentials or sensitive personal data outside of: (i) completing a transaction you initiated; (ii) resolving a support inquiry; or (iii) legal compliance obligations such as AML/KYC procedures.

10.3HiFiSwap SHALL NOT BE LIABLE FOR ANY LOSSES ARISING FROM INFORMATION YOU VOLUNTARILY SUBMIT THROUGH OUR WEBSITE OR CONTACT CHANNELS, OR FROM TRANSMISSIONS MADE IN RESPONSE TO REQUESTS WE REASONABLY BELIEVED TO BE LEGITIMATE.

11. Limitation of Liability

11.1THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2TO THE FULLEST EXTENT PERMITTED BY LAW, HiFiSwap AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICES — INCLUDING DAMAGES FROM RELIANCE ON PLATFORM INFORMATION, SYSTEM ERRORS, VIRUSES, TRANSMISSION DELAYS, OR UNAUTHORIZED ACCESS — REGARDLESS OF THE LEGAL THEORY AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3Exchanges executed through our platform are irreversible. Please verify all transaction details before confirming. HiFiSwap bears no responsibility for crypto assets once they leave our platform, and does not guarantee uninterrupted service availability.

11.4OUR MAXIMUM AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO HiFiSwap IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.5HiFiSwap actively cooperates with law enforcement to combat fraud in the crypto asset space. We reserve the right to suspend or terminate any Exchange involving crypto assets that we believe, at our sole discretion, to be associated with illegal activity — without prior notice or obligation to disclose our reasoning.

12. Indemnification

You hereby agree to indemnify, defend, and hold harmless HiFiSwap, its affiliates, and their respective directors, officers, employees, and agents from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:

12.1Your use of, or conduct in connection with, the Services;

12.2Any breach or alleged breach of your representations, warranties, or obligations under these Terms;

12.3Your violation of any applicable law, regulation, or third-party right;

12.4Any dispute between you and a third party arising from your exchange transactions.

In the event of any such claim, HiFiSwap will provide you with written notice and, at your expense, reasonable cooperation in the defense. HiFiSwap reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

13. No Securities Offering

13.1HiFiSwap exclusively supports crypto assets that are not classified as securities by the U.S. Securities and Exchange Commission (SEC) or any other competent regulatory authority.

13.2The holder of any digital token or coin bears sole responsibility for confirming that the asset does not constitute a security. HiFiSwap reserves the right to delist and discontinue support for any asset if there is reasonable concern that it may be classified as a security.

13.3Nothing in these Terms constitutes investment, financial, legal, or professional advice, nor any representation that any crypto asset available through our Services is not a security.

14. Termination of Terms

HiFiSwap reserves the right to suspend or terminate your access to the Services, and to delete your account and registration data (including username and password), under the following circumstances:

14.1Service Discontinuation — If we decide to cease providing the Services for any reason, we will provide at least 3 calendar days' prior written notice via email;

14.2Terms Violation — If we determine, at our sole discretion, that you have breached any provision of these Terms, we may suspend or terminate your access immediately without prior notice;

14.3Restricted Location — If we determine that you are accessing the Services from, or are a resident of, a Restricted Location, we may suspend or terminate your account immediately without prior notice.

HiFiSwap is not obligated to disclose the reasons for any suspension or termination decision.

Upon termination of these Terms for any reason, Sections 8 (Risk Disclosure), 11 (Limitation of Liability), 12 (Indemnification), and 15 (General Provisions) shall survive and remain in full force and effect.

15. General Provisions

15.1Entire Agreement — These Terms represent the complete agreement between you and HiFiSwap regarding the Services and supersede all prior understandings.

15.2Conflict Resolution — If these Terms conflict with any other agreement between you and HiFiSwap, the other agreement prevails only if it explicitly states that it overrides these Terms.

15.3No Waiver — Our failure to exercise any right under these Terms does not constitute a waiver of that right.

15.4Severability — If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

15.5Assignment — You may not assign your rights or obligations under these Terms without our written consent. HiFiSwap may freely assign its rights under these Terms without your consent.
